General Terms and Conditions of Sale and Delivery
§1 Contract Formation
Orders can be placed in writing, by phone, via email, or through our website. Unless explicitly confirmed, the contract is concluded upon shipment of goods by Denti-Shop.com.
Product listings and pricing are subject to change. The applicable terms and pricing are those in effect at the time of order placement. In cases where delivery occurs more than four months after the order date through no fault of Denti-Shop.com, the prices valid on the shipping date will apply.
Product availability may vary depending on legal and logistical limitations, especially for items classified as hazardous. Denti-Shop.com will inform customers accordingly.
All listed prices are net, excluding applicable VAT and shipping costs. Material cost fluctuations (e.g., for metals like cobalt) may lead to price adjustments.
§2 Delivery Terms
Orders are shipped from our main warehouse. Shipping charges depend on weight, destination, and transport method. Additional fees may apply for partial deliveries.
If delivery is delayed due to customer-related issues and not resolved within 10 days after a notice, Denti-Shop.com reserves the right to cancel the order, request prepayment, or seek compensation.
All goods are insured in transit. Any shipping damage must be reported immediately upon discovery.
§3 Delays Due to Unforeseen Events
In the event of force majeure (e.g., natural disasters, strikes, governmental actions), the delivery period will be extended appropriately.
Customers may cancel the contract if delays exceed two weeks and they provide written notice. Compensation claims are excluded in such cases.
§4 Payment Terms
Invoices are issued upon dispatch or availability of goods.
Payment is required in advance unless otherwise agreed. We accept credit card payments (Visa, MasterCard, AMEX), and other options may be available upon request.
Bank charges are the customer’s responsibility unless paying by credit card.
Extended payment terms (e.g., 30 days) require prior approval. PayPal may be used, unless excluded by special offers.
We reserve the right to charge administrative fees for certain payment methods.
§5 Late Payments
Late payments are subject to 6% annual interest and up to €8.00 in reminder fees. Further deliveries may be suspended until the outstanding balance is paid.
If one invoice is overdue, all other outstanding amounts become immediately due.
§6 Offsetting and Credit Balances
Offsetting payments is only permitted for claims that are undisputed or legally established. This does not apply to payments withheld by Denti-Shop.com.
Any credit balances will be applied to future invoices.
§7 Product Complaints
Complaints must be submitted in writing using our Return Certificate within 20 days of receiving the goods. Once goods are used or processed, claims are excluded.
Minor deviations from the catalog that are technically unavoidable are not considered defects.
In the case of valid complaints, we will either provide a replacement or correct the issue.
The warranty period is 12 months, unless a longer period is mandated by law.
§8 Returns and Exchanges
Returned goods must include a completed Return Certificate and reason for return.
Unopened, undamaged items may be exchanged within 14 days, subject to approval.
Returned equipment requires written consent in advance. If returned without prior approval, a restocking fee of 10% of the purchase price (min. €15.00) applies. Used or damaged equipment is not eligible for return.
Return shipping costs are the responsibility of the customer. Custom orders and made-to-spec products are excluded from return or exchange.
§9 Spare Parts
Spare parts are non-returnable and non-exchangeable.
Provided documents (e.g., drawings or lists) are not repair instructions.
Only qualified electricians should perform maintenance on electrical devices. We disclaim liability for damage caused by improper handling.
§10 Disposal of Electrical Equipment
Products marked with the crossed-out wheeled bin symbol must not be disposed of with regular household waste.
If you wish to return an item for disposal, please contact our service team. Proof of purchase is required. Return shipping is at the customer’s expense. We do not charge disposal fees.
§11 Repairs and Service
Denti-Shop.com services and repairs items sold through our store.
Items sent for repair must be properly packaged and shipped at the customer’s expense unless under warranty.
§12 Retention of Ownership
All delivered goods remain the property of Denti-Shop.com until full payment is received.
Until paid in full, goods may not be pledged or transferred.
In the event of resale or transformation of unpaid goods, we reserve proportional ownership of the resulting product.
If third parties seize goods, the customer must inform them of our ownership and notify us immediately.
§13 Jurisdiction and Place of Performance
The place of performance for all obligations and the legal venue is our company’s registered office, unless otherwise specified.
§14 International Orders
All transactions are governed by German civil and commercial law.
All international bank charges are borne by the customer, including clearance and transfer fees.
§15 Software and Hardware
All software and hardware products are subject to their specific license and user agreements.
§16 Severability Clause
If any clause in these terms is or becomes invalid, it shall not affect the validity of the remaining provisions. In such cases, a legally valid provision that closely reflects the intended purpose will replace the invalid clause.
§17 Intellectual Property Notice
Reproduction or distribution of our website content, including catalogs, in whole or part is strictly prohibited. Use by third-party resellers without permission is not allowed.
