Terms and Conditions of Sale and Delivery
§1 Formation of Agreement
Orders may be placed via email or through our online shop. A binding contract is created once Denti-Shop.com confirms acceptance or dispatches the goods.
Product details, availability, and prices are subject to adjustment at any time. The conditions and pricing in force when the order is received apply. However, if the scheduled delivery takes place more than four months after the order date due to circumstances beyond our control, the prices valid on the delivery date will apply.
Availability of certain items, especially hazardous goods, may be restricted by law or transport limitations. Customers will be notified in such cases.
All displayed prices are exclusive of VAT and shipping. Price modifications may occur when raw material costs fluctuate significantly (e.g., precious metals, cobalt).
§2 Payment Conditions
Invoices are issued at the time of dispatch or when the goods are ready for collection.
Unless otherwise agreed, prepayment is required. Accepted methods include credit cards (Visa, MasterCard) and other options upon request.
Transaction charges imposed by banks are borne by the customer, except when paying by credit card. Extended terms (e.g., 25 days) are possible only with prior approval. PayPal payments are generally accepted, unless excluded for certain promotions. Administrative fees may apply to specific payment methods.
§3 Late Payments
If payment is delayed, Denti-Shop.com may charge default interest of 9% per annum and reminder costs of up to €7.50. Further deliveries can be withheld until all outstanding invoices are settled. Once a single invoice is overdue, all open amounts may become immediately payable.
§4 Delivery and Shipping
Goods are dispatched from our central warehouse. Freight costs depend on parcel weight, destination, and mode of transport. Partial deliveries may incur additional costs.
If delivery cannot be completed due to reasons attributable to the customer and is not resolved within 14 days of notice, Denti-Shop.com may cancel the order, demand advance payment, or claim compensation.
All consignments are insured during transport. Any visible damage must be reported to us immediately.
§5 Force Majeure and Unforeseen Delays
Events beyond our reasonable control—such as strikes, natural disasters, or governmental restrictions—extend the delivery period appropriately.
Should such delays last longer than two weeks, the customer may withdraw from the agreement in writing. Claims for compensation are excluded in this context.
§6 Returns, Complaints, and Warranty
Defects or complaints must be reported in writing within 14 days of receipt, using our Return Certificate. Once items are processed or used, claims can no longer be made.
Minor technical variations from catalog descriptions do not constitute defects.
In the case of justified complaints, we will repair, replace, or otherwise remedy the issue. Warranty rights generally expire after 12 months unless longer periods are required by law.
§7 Returns and Exchanges of Goods
Returned goods must always include the completed Return Certificate and a reason for return.
Unopened and undamaged products may be exchanged within 14 days upon approval.
Equipment can only be returned with prior written consent. Unauthorized returns may be subject to a 10% restocking fee (minimum €15). Used or damaged items are excluded from return.
Return shipping costs are borne by the customer. Custom-made or specially manufactured products are non-returnable.
§8 Special Product Rules (Spare Parts, Software, Hardware)
Spare parts cannot be returned or exchanged. Documentation such as drawings or parts lists does not replace official repair instructions. Electrical maintenance should only be performed by qualified specialists. We disclaim liability for damages caused by improper handling.
Software and hardware products are provided under their specific license and usage agreements, which must be observed.
§9 Disposal of Electrical Equipment
Items marked with the crossed-out wheeled bin symbol may not be disposed of with household waste. Customers wishing to return electrical goods for disposal must provide proof of purchase and bear the shipping costs. No disposal fees are charged.
§10 Repairs and Services
Denti-Shop.com carries out repairs and services exclusively for products purchased from us.
Items must be shipped securely and at the customer’s expense, unless covered under warranty.
§11 Ownership Reservation
All delivered goods remain our property until paid in full.
Goods may not be pledged or transferred while outstanding amounts remain.
If unpaid goods are sold or transformed, we retain proportional ownership of the resulting item. In the case of seizure by third parties, the customer is obliged to inform them of our rights and notify us immediately.
§12 Set-Off and Credits
The customer may only offset claims that are either undisputed or legally confirmed. This does not apply to claims held by Denti-Shop.com.
Any existing credit balances will be credited against future invoices.
§13 International Orders
For international deliveries, German civil and commercial law applies.
All costs related to bank transfers, clearance, and other international charges must be borne by the customer.
§14 Intellectual Property Rights
The reproduction, distribution, or use of our online content and catalogs, in whole or in part, without explicit permission is prohibited. Unauthorized use by third parties or resellers is not permitted.
§15 Legal Venue and Severability
The place of performance and jurisdiction is our company’s registered office, unless otherwise agreed.
If any clause of these terms is invalid, the remainder remains enforceable. An alternative valid provision that most closely reflects the intended purpose will replace the invalid clause.
